These general terms and conditions (“AGB”) of Scribershub GmbH, Hochallee 103, 20149 Hamburg (“Scribershub” or “We” or “us”) apply in the ratio of scribershub and writers. They regulate the use of the Scribershub (“platform”), which can be called up under the url scribershub.com, and the mediation of writers by us.
With our platform, we offer you the opportunity to use our platform as a professional creator of text content, such as freelance journalists, advertising texters, public relation writers, corporate publishing writers, author or screenwriter ("Schreiber") for the creation of corresponding content (texts, audiovisual content etc., hereinafter: "content") as part of a "project".
Scribershub takes on the role of an advisory broker between the writer and the "writing-person", that is, content-interested positions or companies of all kinds, such as publishers, pressing sites, communication departments, public relation agencies, corporate publishing agencies or advertising agencies for A project.
Registration on our platform is free of charge. In the event of a successful conclusion of a consulting and placement contract between us and a writer, a commission is due for writing if we present it to the right candidate. There are no costs for writers even in the event of placement.
The platform is aimed exclusively at entrepreneurs within the meaning of § 14 BGB. Different terms and conditions of the writer only apply if Scribershub expressly agrees to it in writing.
As a writer, only adults who create content independently can register at Scribershub. Criminals and consumers who are not self -employed cannot register.
Own general terms and conditions apply to writing more.
The accessibility of our platform on the Internet is not a legally binding offer to conclude a contract. You can register as a writer on our platform if you call up the corresponding section and enter the required data there. This includes your full name, an email address and a password to be awarded to you. You are obliged to keep this password secret and not to take note of or to make it accessible to third parties.
With a subsequent pressing of the "Register" button, initiate the start of the process for inclusion in our curated network for writers. You can cancel the registration at any time or change the information provided in accordance with Section 2.1.

The specification of at least two references, including the email address, who have agreed to you to confirm your references to us on request and which for this purpose expressly allow you to send your names and contact details to us. Scrbershub then checks your mandatory information promptly ("quality check"). After the successful quality check, you will receive a welcome email. With this email we accept the predetermined offer and a contract between you and Sirbershub is concluded with the use of the platform and admission to our curated writer network ("contract"). If the quality check is unsuccessful, you will receive a corresponding email notification from us.

Under no circumstances appears between writers and writers as a representative or as an explanatory or reception messenger.
A project contract is concluded exclusively between writing and writer. The conditions for the project contract agreed between them and the letter of writing apply alone.
An owing relationship according to Section 311 (3) of the German Civil Code between you and Scrbershub does not come about. Scribershub expressly assumes no guarantee for the circumstances of the letter seeking in writing or the proper fulfillment of contract by the letter of writing.
You are not entitled to create several profiles.
You are responsible for preparing backup copies on your own systems on our own systems.
You are obliged to treat your login data strictly confidentially and to protect against unauthorized access by third parties. If you suspect the abuse of the login data by third parties, you are obliged to inform us immediately in a reasonable manner.
You are obliged to keep all mandatory information in your profile continuously.
If you lose your status as a self -employed person, you are no longer allowed to be mediated by Scriberhub and have to inform this fact immediately if your employer is not allowed to work independently of your employer. In this case, Scrbershub reserves the right to terminate the contract concluded in accordance with Section 2.5 in accordance with Section 8.2.

Our performance will be provided free of charge for you. According to the legal regulations, we are therefore only liable for intent and gross negligence.
The contract concluded between the writer and Scribershub in accordance with Section 2.5 applies indefinitely.
The contract can be canceled freely at any time with a period of 7 days by both sides. Terminations must be made in text form in accordance with Section 126b of the German Civil Code (e.g. email).
A termination of the contract between the writer and the scirbershub is not significant for the effectiveness of closed project contracts.

The law of the Federal Republic of Germany applies to the exclusion of the UN sales law. The place of jurisdiction is Hamburg.

If working days are specified as deadlines in these terms and conditions and/or on the platform, all weekdays with the exception of Saturdays (Saturday), Sundays and public holidays in Hamburg or nationwide are understood.

Inquiries can only be processed by us if you have specified the information provided in the online form or by email as compulsory information, in particular your first and last name and an email address. With the submission of the request, you start the process to conclude a consultation and mediation contract on the conditions of these terms and conditions. If we receive your request, we will contact you promptly about the communication channels you mentioned in the request in order to bind the essential aspects of the desired project (""Project meeting"). In the course of the project discussion, our fee for the project is also discussed.
If the essential aspects of the project and our fee are discussed, we will send you a binding offer letter by email that contains the predetermined essential aspects of the project and our fee. This offer letter remains binding for a maximum of seven (7) working days. You can accept the offer contained therein within this time by sending us a corresponding email. This gives a legally binding consulting and placement contract between them as the person seeking writing and us ("Advisory contract“) For the project in question.
If the consulting contract has been concluded, we will work for you. In the course of this, we will first identify suitable candidates for your project from our curated network of the writers registered with us and contact these writers in question in order to discuss the agreed essential aspects of the project and to explore their interest in the project (""Selection selection"). From this point on the project, the further communication regarding the project will take place alone between the letter of writing and the writer. A project contract is concluded exclusively between writing and writer. The conditions for the project contract agreed between them and the writer apply alone.
An owing relationship according to Section 311 (3) of the German Civil Code between you and Scrbershub does not come about. Scribershub expressly assumes no liability for the circumstances or the smooth fulfillment of the contract by the writer.
The person seeking writing and the writer agreed to each other the fee to be paid for the realization of a project from the letter to the writer to the writer, including the terms of payment. Scribershub does not make any specifications. The writer and the writer are solely responsible for compliance with all legal obligations, including any taxes or social security obligations.
For its consulting and brokerage activities, scribershub receives the fee agreed in accordance with Section 2.4. The person seeking writing must pay the fee. It is earned as soon as the writing seeker has received the writer suggestion from scribershub in accordance with Section 3.1. This also applies if the project contract is concluded after the termination of the contractual relationship between the person seeking writing and scribershub, but with the participation of our services.
scribershub will send the writing seeker an invoice with the writer suggestion. The fee is payable within two weeks of receipt of the invoice to the scribershub account specified on the invoice.
The person seeking writing is obliged to provide complete and correct information to scribershub.
The person seeking writing is obliged to treat all information received as part of the contractual relationship with scribershub, in particular all information in connection with writing suggestions and contact details, confidentially and in particular not to pass it on to unauthorized third parties.
The person seeking writing is also obliged to
not to contact writers for any purpose other than initiating contracts for the creation of content;
When sending a request or otherwise, not to transmit any materials or information to scribershub that are unlawful, in particular because they violate the intellectual property rights or copyrights or personal rights of third parties. You guarantee that you have the necessary rights to make this available to scribershub and, upon first request, you release scribershub from any costs resulting from a claim by third parties due to the violation of the aforementioned rights. All potential writer materials that we provide to you as part of the writer proposals are for the sole purpose of your internal decision making for the purpose of writer acceptance. Any use beyond this is not permitted.
The consulting contract concluded between the writing seeker and scribershub for a project in accordance with Section 2.5 is valid for an indefinite period of time.
The consulting contract can be freely terminated by either party at any time with 7 days’ notice. Terminations must be made in text form in accordance with Section 126b of the German Civil Code (BGB). If the consulting contract is not terminated, it will be terminated by the conclusion of the project contract in accordance with Section 4.1. Section 5.2 applies to the conclusion of project contracts after termination of the consulting contract.
You agree that the contractual communication between us can take place in electronic form.
Under no circumstances will we be liable for the formation of a project contract or the provision of services or the breach of obligations in connection with a project contract concluded between a writer and a writer. Writing Seekers and Writers are solely responsible parties to the Project Agreement and any related communications.
As part of our contractual relationship with writing seekers, we are ultimately liable as follows:
This section does not limit our legal liability for intent and gross negligence or for damages resulting from injury to life, body or health.
In cases of slight negligence, we are liable for breach of an essential contractual obligation in cases other than those mentioned in section (a). An essential contractual obligation within the meaning of this section is an obligation whose fulfillment enables the execution of the contract and on whose fulfillment the person seeking a letter can therefore regularly rely.
Liability according to the previous paragraph (b) is limited to the typical and foreseeable damage at the time the contract was concluded.
The limitations of liability apply accordingly in favor of our employees, agents and vicarious agents.
Any further liability on the part of scribershub is hereby excluded; However, any liability on our part for guarantees given (which should be expressly designated as such) and for claims based on the Product Liability Act or data protection violations remains unaffected.
